Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Solvincs (“we,” “us,” or “our”). By engaging us or using our services, you agree to these Terms on behalf of your business.

Services

We design, build, and operate AI customer-support assistants and related services as described in your order or statement of work. We may update or improve the services over time, provided the core functionality you've contracted for is not materially reduced. You are responsible for the accuracy of the business information you provide for training and configuration.

Payment Terms

Fees, billing frequency, and any setup charges are set out in your order. Unless stated otherwise, invoices are due within 30 days of the invoice date, and recurring fees renew automatically for successive terms. Late amounts may be subject to a reasonable late fee. All fees are exclusive of applicable taxes.

Limitation of Liability

The services are provided on a commercially reasonable basis. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total aggregate liability arising out of or relating to the services will not exceed the amounts you paid to us in the three months preceding the event giving rise to the claim. AI-generated responses may contain errors, and you are responsible for reviewing how the assistant represents your business.

Termination

Either party may terminate for material breach that remains uncured 30 days after written notice. You may cancel ongoing services in line with your order terms. Upon termination, your right to use the services ends, and we will, on request, take reasonable steps to return or delete your data, subject to our legal obligations.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Ontario will have exclusive jurisdiction over any disputes arising from these Terms or the services.
